第一讲：英文合同书的构成
我们通常见到的英文合同书格式分别来源于英美、日本、香港、新加坡，除个别地方外，整个合同的段落排列、句式和用词大同小异，主要包括下面四个部分：标题、前言、正文和结尾。

第二讲：英文合同书的封皮
出于保护合同书的目的，应在合同书上加封面。封面上用简洁的语言记录：合同标题、合同当事人和合同签订日期。合同封面的样本如下所示：
第三讲：英文合同的标题
英文合同要写标题。拟定标题是为了使合同内容一目了然，合同标题本身没有特别的法律效力，且对合同内容也没有影响。如果合同书有封面的话，封面与合同的标题要保持一致。
标题的书写多根据合同或协议的类型而定。
劳动人事方面包括：劳动合同（labor contract）、保密协议（confidentiality agreement）、竞业禁止协议（non-compete agreement）、人事代理协议（human agency agreement）；
不动产方面包括：商品房买卖合同（contact of sale of commodity houses）、租赁协议（tenancy agreement）、土地使用权出让、出租、转让合同（contract for assignment，lease and transfer of the right to the use of land）、抵押合同（mortgage contract）、贷款合同（loan contract）、物业管理合同（property management contract）、建设工程承包、安装合同（contract for construction engineering and installation of project）；
服务类包括：技术服务（technical service agreement）、咨询(technical consultant agreement)、开发（technical development agreement）、转让（technical transfer agreement）、许可协议（licensing agreement）、代理协议（agency agreement）、保险合同（insurance contract）、融资协议（financing agreement）、风险投资管理协议（ventrure capital management agreement）、法律顾问协议（employment contract for legal consultant）；
公司方面包括：合资企业（joint venture contract）、章程（articles of association, corporate bylaw）、合伙协议（partnership agreement）、股权转让协议（agreement on assignment of equity interests）、和解协议（composition agreement）；
物流方面包括：
买卖合同（sales contact）、采购合同（purchase contact）、运输合同（carriage contact）、进出口合同（import and export contact）、仓储保管合同（warehousing and safe-keeping contact）、补偿贸易合同（contact for compensation）
人身方面包括：遗赠抚养协议（legacy-support agreement）、离婚协议（divorce agreement）第四讲：英文合同前言的导入部分
英文合同前言的导入部分一般由三部分组成：合同签订日期、合同签订地点、合同当事人。
一、英文合同导入部分的样本

二、合同签订日期
如果双方当事人于不同时间在合同上签字，通常把最后的日期当作合同的签订日期。如果合同文本中没有规定合同生效日，例如，规定有关政府部门批准认定日为合同生效日等，合同的签订日就视为合同的生效日。
三、合同签订地
如果当事人之间就合同的准据法或裁判管辖没有特别的协议时，合同签订地是决定准据法及裁判管辖的要素。在实践中，经常会出现双方在不同时间、地点签字，然后互换合同文本的情况，这样就很难确定合同签订地，所以最好的办法是在合同中对此项内容有所协议。
四、合同当事人
若合同当事人是法人，要写明公司所在地、法律上的名称、法人的种类和公司设立的准据法。若是自然人，则只需写上住处和名字。合同条款中有时须多次重复当事人名称，如果每次都使用完整的名字或法人全称，就显得很繁琐。所以，人们通常在前言中标明当事人再次出现的简称。例如：Seller，Buyer，Party A，Party B等。
第五讲：英文合同前言的说明条款
说明条款一般以Whereas起头。在现代英文合同中，有时也将说明条款放在合同正文中。
一般来说合同中有无说明条款，不会影响其法律效力。但要注意以下两点：第一、合同正文不够明确时，说明条款的内容就被视为明确合同内容，把握当事人真正意图的重要资料。第二、在说明条款中写入事实的当事人。不能主张与此相反的阐述。因此制作说明条款也不应草率，应在深思熟虑后书写。
说明条款例句：

第六讲：英文合同书的正文部分
合同正文部分千差万别，但一般要包括以下几方面的条款：
1．规定合同必须履行的债务内容的条款（包括：定义条款、合同期限条款、通知条款、最终性条款和转让债权/接受债务的条款）
2．规定债务履行过程中出现问题时的处理条款（包括：解除合同的条款和修改/变更合同的条款）
3．规定合同出现变更情况时的处理条款（包括：不可抗力条款、履行困难条款）
4．争议的解决条款（包括：裁判管辖条款、准据法条款和仲裁条款）
第七讲：英文合同书的定义条款
合同中的重要概念可用定义条款加以定义。这样做的优点是避免合同在用语上的繁琐；避免合同内容在理论上缺少一贯性。在定义条款中被下了定义的词语，在以后的各项条款中出现时必须用大写字母表示。
定义条款的样本如下：

第八讲：英文合同书的期间条款
合同期间指合同效力的生效期及终止期，这是合同中必须明确表示的内容。合同到期就会自动失效，如需更新时，一定要明确记载更新手续及延长期间。
合同的期间条款的样本如下：
Period of Agreement (Duration)
This Agreement comes into force on the date on which it
approved by the Chinese Government and continues for five
years.
On the expiry of the period A may continue this Agreement for
further five years by twelve months’ prior written notice to B.

合同期限
本合同从中国政府批准之日其生效，合同期限为5年。
在合同期限届满前12个月，A方可向B方发出书面通知，将本合同再续期5年。
第九讲：英文合同书的通知条款
合同一方当事人在行为付诸实施之前有向另一方发出通知的义务。通知条款规定收件人地址、通知方法和通知生效时间。一般来说采用以航空挂号信的形式，以信件的发出为生效标准的方法问题比较少，对双方当事人也比较公平。
合同的通知条款样本如下：
Notice
Any notice, request, consent, offer or demand required or
permitted to be given in this Agreement, must be in writing
and must be sufficiently given if delivered in person or sent by
registered airmail or by fax or telex confirmed by registered
airmailed letter.
Notice is deemed to have been given on the date of mailing

中文释义：
根据本合同的要求或许可发出的所有通知、请求、同意、申请或要求必须以书面形式直接交付对方；或以航空书信的形式发给对方；或采用传真、电报的形式联络之后，以航空书信进行确认的方式交给对方。
通常认为通知是在发出日送达的。但是，对地址变更的通知，一般到达日为准认定通知是否送达。
第十讲：英文合同书的结尾部分
合同书的结尾部分有盖章证书形式和单纯书面形式两种。自然人没必要盖本人姓名的图章，美国人在前置的后面写上“Seal”或“L.S.”等字样。结尾部分没有“Attest”的合同也照样生效，合同当事人签字时在场的任何人都可以签Attest。
双方当事人为法人的单纯书面结尾形式：

第十一讲：英文合同书的签名
如果合同当事人是法人，例如：

Attest为副署，一般由公司的“Secretary”签署。当然，合同当事人签字时在场的人也可以签署Attest。
如果当事人不在场或无法签署，须有代理人代替当事人签名，签名应采用如下方式：

第十二讲：英文合同书的盖章、附注、附表
一、盖章
英文合同的签署，根据需要加盖公章。如果当事人为自然人时，往往没有必要加盖签章，在英国一般在署名的后面贴上豆沙色圆形小纸片，而在美国，则在署名的后面签上“Seal”或“L.S”（注：L.S.为Locus sigilli的缩写，意为：place of the seal）等字样。如果当事人为法人时，则一般需加盖公司公章（corporate seal 或common seal），同时由另一名公司成员作为证人签字署名，即Attest，通常情况下由公司的“Secretary”签署。
二、附注、附表
专利权和商标权的实施许可合同大多有附注或附表。出合同正文之外，一般特设附注及附表条款记录专利及商标的内容（号码、名称、申请日等）附注和附表可是使合同书一目了然。

英文合同结构、用词及语法汇总
第一节篇章结构特点(Text Structure) 一份完整的英文合同通常可以分为标题(Title)、前言(Preamble)、正文(Habendum)、附录(Schedule)及证明部分即结尾词(Attestation)五大部分。「标题」在开宗明义地显示合同的性质;「前言」是用最简单的说明，大略介绍合同订立的背景;「正文」里包括依各种合同性质的不同而约定的具体条款，包括不论何种类型合同都会出现的一般条款;[附录]构成对前述合同正文条款作必要的补充。(不是所有合同都有该部分)最后「结尾」则是当事人签名前的一段文字，为整份合同画上完满的句号。以 下分别就此五部分进行说明。 一、合同的标题(Title) 英文合同和中文合同都一样，标题并不是一定要有的，因为当事人间的法律关系是用合同内容的各个条款来判断，标题基本上不会产生任何影响。但为方便辨识的考虑，合同撰写人通常都会依照合同性质，在合同首页的最上方给予一个适当的标题。在第一章的英文合同名称中已有介绍，在此不再赘述，仅补充Confirmation(确认书)，Order(定单)经常也会出现在简易的合同中。 二、合同的前言(Preamble) 英文合同在标题之后，各式各样的条款出现之前，通常会先有一段「前言」，也称序言、导言、总则等, 也见有称为“Non-operative part”者。前言一般不会占去太多的篇幅，目的在于很简略地介绍合同内容之人、事、时、地、物等背景，让阅读合同的人在接触冗长复杂的正文前，先有一个基础的认识与心理准备。详细来说，前言通常又分作以下两个段落： 第一部份文字叫做"Parties" ，也就是合同的「开场白」(Commencement)，内容在说明当事人姓名或名称、国籍或注册地国及住所地或主营业地、订约日期包括各自在合同中的简称等等。 & by and between 要表示合同是由哪些当事人所订定，英文中通常会说"This Agreement is made by and between..."，用"by"来表示合同「由谁订定」，"between"来表示「谁与谁之间的订立」。如果当事人不只两个，也可以用"by and among"来代替。 & organized and existing 合同开场白里要说明当事人的国籍，在自然人的情况下可以用"a national of ..."或"an individual with the nationality of ..."来表示，如果是法人组织多半使用"organized and existing under the laws of ..."这样的字眼，其中"organized"也可以 用"incorporated"来代替。
