甲、乙双方本着平等自愿、共同促进发展的原则，就化石燃料燃烧

优化及尾气处理技术研究事宜，经友好协商，达成如下协议：

三、其它

1、甲、乙双方中任何一方欲变更、解除本协议，必须采取书面形式，解除协议需提前一个月向对方提出。

2. 甲、乙双方中任何一方未履行本协议条款，导致协议不能履行、不能完全履行，对方有权变更、解除协议。

3、本合同未尽事宜，双方应本着互惠互利、友好协商的原则另行约定。

4、本协议一式两份，双方各执一份。

5、本协议自双方代表人签字认可之时起生效。

6、协议有效期三年，协议期满可另行续约。

1. either party’s change or termination of the agreement shall be in written form, and the termination of the agreement shall be informed to the other party one month in advance.

2. in case either party’s failure in fulfillment of the terms of the agreement leads to the impossibility of performing or completing the agreement, the other party has the right to change or terminate the agreement.

3. the matters not covered in the agreement shall be settled by both parties in line with the principle of mutual benefit and friendly negotiation.

4. the agreement is in duplicate, one for each other.

5. the agreement takes effect upon the signature of the representatives of both parties.

6. the agreement remains valid for three years and shall be extended upon the expiration separately.

strategic cooperation agreement

party a:

party b: beijing yan xin advertisement media co., ltd.

through friendly negotiation, party a and party b enter into the following strategic cooperation agreement on project e12 (or

hereinafter referred to as “project”) that is initiated by both parties and personages of all circles:

i. principle of cooperation

to promote public-spiritedness, disseminate the sense of social responsibility and show concern for the living condition and development opportunities for the ordinary people, party b collaborated with party a and all sectors of the community in launching project e12 in august 2011.

the core concept and the purpose of the project are to spread public benefits ideas and culture featuring concern for the most ordinary people of society through 12 annual public benefits themes.

ii. model of cooperation

1. as the strategic cooperation partner of the project, party a shall acknowledge and support the concept and the purpose advocated in the project, approve and authorize party b to legally specify or make public that party a is its long-term strategic partner in project e12 during publicity events and execution process.

2. if any side needs to use the part that belongs to the other party concerning the project, it shall gain the written consent of the other party in advance.

3. all publicity and advertisement activities organized by both parties shall abide by national legislation and safeguard legitimate rights and interests of party a.

4. party b shall conduct planning and promotional activities relevant to the project of party a in its own project whereas party a shall actively cooperate with party b and participate in party b’s project events for public benefits that accord with party a’s own aim.

iii. term of cooperation

after negotiation, both parties agree that this agreement shall be effective for a period of three years (x, 2012 to x, 2015) upon the date of signing.

iv. other agreements

1. party b shall promise to manage and implement the whole project in the principle of honesty and integrity and in accordance with relevant laws and regulations, and take voluntarily all relevant consequences incurred during implementation and management.

2. the cooperation is equal and voluntary in nature, so party b shall show party a’s strategic partnership status only if it is within the scope and in the way that are ratified by both parties.

3. party a is entitled to monitor the legitimacy and compliance of party b’s cooperation, put forward reasonable advices, improve the project and facilitate its smooth development during the term of this agreement.

4. either party shall not conduct activities that are against national laws and legislations or harmful to the other party’s brand or image in the name of organization and project of the other party, otherwise, the other party has the right to terminate this agreement. if the activities cause any economic loss, the party that suffers loss is entitled to ask for compensation from the party at fault.

5. the strategic partnership established in this agreement is not exclusive, so both parties have the right to enter into cooperation with other partners.

6. law of people’s republic of china is applicable to this agreement. if dispute arises, both parties may apply to beijing arbitration commission for arbitration.

7. this agreement shall become effective upon the date of signing. it contains two equally valid copies, one for party a and one for party b. this agreement shall automatically extend for two years upon the date of expiration if no party files a written objection.

2. responsibilities reliabilities

- provide the full documentations of chinese companies to conduct business in xxxx.

- ensure the authenticity and legality of all the documentation provided by the chinese companies. - as authorized by party b, party a is responsible to the signing and interpretation of various

documents for mutual business.

- assist party b to conduct the business promotions and publicities in china.

- party b shall provide all the financial support on their business in china; it includes business initiation,

management and promotion.

- as party a shall refer the chinese companies to party b. party b shall provide these companies the

consultant services regarding legal, audition, taxation, financial, risk management, accounting and other related areas. - in order to establish the intensiveness business co-operation. party b shall provide all the business

related documents, information, legal acts and governmental information in xxxx for the reference of party a.

- party b shall provide a systematic training course on xxxx businesses sop (standard operation

procedure), xxxx law tax regulations and iim billing system

for party a employees.

二．责任与义务

甲方

- 甲方根据乙方所提供的xxx业务进入标准、投资环境以及税收政策，为乙方推荐中国国内优质企业到乙

方公司开展业务。

- 提供中国公司在xxxx进行业务所需的所有文件。

- 确保中国公司文件的真实性、合法性。

- 负责乙方在中国业务各种文件的签署、解释工作。

- 协助乙方在中国展开相关业务的推广及宣传。

乙方

- 乙方将提供其相关项目的所有开展、管理及推广业务的资金。

- 甲方所推荐到xxxx地区的企业，乙方须为其提供后续的经营、管理、法律法规咨询、会计及其他相关的顾问服务工作。乙方根据甲方在中国开展业务的需要，提供一系列必要的宣传类资料，包含当

地的税收政策、投资环境分析、乙方公司的官方宣传材料等。乙方须向甲方特定人士进行xxxx当地业务的标准操作步骤、政府法律/

税则规定及iim收费系统的培训

课程。

3. communication structure

for a better future business development, party a and party b shall establish a regular meeting schedule for the business assessment, business flow and information exchange.

三．业务沟通交流机制

为了将来更佳的业务拓展，甲、乙双方须定时展开会议，进行业务发展的评估、流程及信息交流。

4. convenant against revealing trade secrets

no party shall, during the continuance of the co-operation relationship or for 5 years after its termination by any means, divulge to any person not a member of both firms any trade secret or special information employed in or conductive to the co-operation business and which may come to the both party’s knowledge in the course of the co-operation relationship, without the consent in writing of the other party, or of the other party’s heirs, administrators, or assigns.

四．保守商业秘密的承诺

在甲、乙双方展开合作业务的存续期间或无论以何种方式终止合作业务后5年内，如果没有其他合伙人或其继承人、管理者或受让人

的书面同意，任何合伙人不得向非公司成员泄漏任何商业秘密或有

官合作业务采用或有助于合作业务的信息，在合作业务的运营过程中，该信息可能会成为合作双方的专有知识。

5. duration of agreement

the term of this agreement shall be for 1 year, commencing on [date], and terminating on [date], unless sooner terminated by mutual consent of the parties or by operation of the provisions of this agreement.

五．协议期限

本协议期限为[1]年，从[2011年x月x日]开始到[2012年x月x日]结束，除非甲、乙双方同意或本协议条款规定可终止该协议。

6. governing law

the enforcement and interpretation of this agreement shall be governed by the laws of the people’s republic of china.

六．法律适用

本协议的实施和解释适用于中华人民共和国法律。

7. resolution of disputes

any dispute arising out if or in connection with this agreement, shall be governed and construed by the laws of the people’s republic of china in china international economic and trade

arbitration commission, and shall be referred to and finally resolved by china beijing district court, p.r.c.

七．争议的解决方案及管辖

所有因履行本协议引起的，与之相关的或不能够通过协商解决的争

议及纠纷，任何一方均可将争议提交中国国际经济贸易仲裁委员会，并且依照中华人民共和国规定，在北京通过仲裁的方式进行解决。

8. prevail of language version

any contradiction between chinese and english version, chinese version shall prevail.

八．中文及英文版本间的效力

所有因中、英文版本引起的矛盾及争议，以中文版本为准。

9. other provision

both parties will be based on actual needs of the business co-operation to sign the specific business contracts and execute accordingly. if there are inconsistencies between the contract and this agreement, the contract shall prevail.

九．其他事项

甲乙双方将根据实际需要在实际业务合作时签订具体业务合同，并

按合同约定执行。如具体业务合同存在与本协议不一致之

处，以具体业务合同约定为准。
