Transfer of Rent Contract
This Transfer of Rent Contract (the "Contract") is made and entered into as of [Date], by and between [Transferor], hereinafter referred to as
the "Transferor", and [Transferee], hereinafter referred to as the "Transferee".
RECITALS:
WHEREAS, the Transferor is the tenant of the premises located at [Address] (the "Premises") under a lease agreement with [Landlord] (the "Lease");
WHEREAS, the Transferee desires to assume the rights and obligations under the Lease from the Transferor;
NOW, THEREFORE, in consideration of the mutual promises contained herein, the parties hereto agree as follows:
1. Transfer of Lease Rights and Obligations
1.1 The Transferor hereby transfers and assigns to the Transferee all of the Transferor's rights and obligations under the Lease, effective as of the date hereof (the "Transfer Date").
1.2 The Transferee hereby assumes all of the Transferor's obligations under the Lease, effective as of the Transfer Date.
2. Rent Payment
2.1 The Transferee agrees to pay the rent due under the Lease to the Landlord, in accordance with the terms and conditions of the Lease.
2.2 The Transferor shall be responsible for any rent payments due prior to the Transfer Date, and the Transferee shall be responsible for any rent payments due on or after the Transfer Date.
3. Use and Occupancy of the Premises
3.1 The Transferee agrees to use and occupy the Premises in accordance with the terms and conditions of the Lease.
3.2 The Transferor shall not use or occupy the Premises in any manner after the Transfer Date.
4. Indemnification
4.1 The Transferor hereby releases and discharges the Transferee from any and all claims, demands, actions, causes of action, suits, and liabilities of every kind and nature, known or unknown, arising out of or in any way connected with the Lease or the use and occupation of the Premises.
4.2 The Transferee hereby releases and discharges the Transferor from any and all claims, demands, actions, causes of action, suits, and liabilities of every kind and nature, known or unknown, arising out of or in any way connected with the Lease or the use and occupation of the Premises.
5. Governing Law and Jurisdiction
5.1 This Contract shall be governed by and construed in accordance with the laws of [Jurisdiction].
5.2 Any disputes arising out of or in connection with this Contract shall be brought before the courts located in [Jurisdiction], and the parties hereby submit to the exclusive jurisdiction of such courts.
6. Entire Agreement
6.1 This Contract constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements, understandings, negotiations, and discussions, whether oral or written, of the parties.
