买卖双方同意按下列条款签定本合同。

Both the Buyer and Seller have agreed to sign the contract according to the following terms and conditions:

5、付款条件：根据此合同的规定，买方应预付合同金额的20%作为保证金，每次发货的货款，买方应开船后7天内付给给卖方。

Terms of Payment: Depending on the sales contract, the buyer shall send 20% of the total contract value by T/T as the deposit of production, the total value of each shipment shall be paid by the buyer to the Seller’s Bank by T/T within 7 days after the shipment date.

如买方未在最迟装运期内装运，则需在3个工作日内电汇全部余款, 并在合同有效期之内发货。

If the Buyer fails to ship within the latest date of shipment, the buyer shall send the balance to the Seller’s bank within 3 working days after the latest date of shipment and arrange shipment before the valid date.

如由于买方原因未在合同有效期内完成装运，则卖方有权没收保证金。

If the Buyer fails to fullfill the cotract within the valid date of the contract, the Seller shall take the deposit as penalty.

6、所有汇款费用、其它银行费用以及服务费用，双方共同承担。

All remittance fees, other bank charges and commissions incurred shall be borne by both parties.

7、装运通知：一旦装运完毕，卖方应在3个工作日内电告买方合同号、品名、已装载数量、发票金额、毛重、运输工具名称及启运日期等。

Shipping advice：The Seller shall，upon the completion of the loading of the goods，within three working days，advise the Buyer of the Contract No.,names of commodity, loaded quantity, invoice values，gross weight，name of vessel and shipment date by E-mail or FAX．8、保险：装船后由买方负责投保。

Insurance: The insurance is to be covered by the buyer after shipment.

9、人力不可抗力事故：如因人力不可抗力事故，导致卖方交货延期或不能交货时，卖方不负责任，但卖方应及时将事故通知买方。

Force Majeure：The Seller shall not be held responsible for any delay in delivery or non-delivery of the goods due to Force Majeure，however the seller shall advice the Buyer of such occurrence．

10、仲裁：一切因执行合同有关的争执，应由双方通过友好方式协商解决。如果协商不能得到解决时，应提交中国国际经济贸易仲裁委员会，按其仲裁规则进行仲裁。仲裁委员会的最终裁决，对双方都有约束力，仲裁费用由败诉一方负担。

Arbitration: All disputes in connection with this contract of the execution thereof shall be settled amicably, if no agreement could be reached, the case shall then be submitted to the China International Economic Trade Arbitration Commission for settlement by arbitration in accordance with its rules of arbitration. The decision made by the commission shall be accepted as final and binding upon both parties. The fees for arbitration shall be borne by the losing party.

11、法律适用：本合同之签定地、或发生争议时货物所在地在中华人民共和国境内或被诉人为中国法人的，使用中华人民共和国法律，除此规定外，使用《联合国国际货物销售公约》。

It will be governed by the law of the P eople’s Republic of China under the circumstances that the contract is signed or the goods while the disputes arising are in the People’s Republic of China or the defendant is Chinese legal person, otherwise it is governed by United Nations Convention on Contract for the International Sales of Goods.

本合同使用的FOB、CNF、CIF、DDU术语系根据国际商会《INCOTERMS2000》

The terms in the contract are based on INCOTERMS 2000 of the International Chamber of Commerce.

12、文字：本合同通过传真签订，用中、英文书写，中、英方两种文字具有同等法律效力，在文字解释上，若有异议，以中文解释为准。

Versions: This contract shall be signed via fax, written in both Chinese and English of which version is equally effective. Conflicts between these two languages arising there from, if any, shall be subject to Chinese version.

13、本合同自双方代表传真签字（盖章）之日起生效。

This contract is effective since being signed/sealed by both parties.

14、对于本合同的任何修改必须经双方授权代表签字生效。

Any amendments to this Contract shall require the signed written document by the duly authorized representatives of both parties.
