THIS INDEPENDENT CONTRACTOR CONSULTING AGREEMENT (the Agreement ) is between AAA, INC., with its principal place of business at _________(ADDRESS) ( AAA ), and the business entity or individual listed below ( Contractor ).

Contractor has the experience and is ready, willing and able to perform the Project Services (as defined below) and AAA, relying on Contractor’s representation, is willing to engage Contractor as an independent contractor, and not as an employee, on the terms and conditions set forth below.

Contractor will perform the project services ( Project Services ) and provide the deliverables ( Deliverables ) as set forth in Exhibit A or as otherwise agreed to in writing by AAA and Contractor. Contractor will complete the Project Services and deliver the Deliverables on or before the Completion Date (if one is set forth in Exhibit A). Contractor will prepare and submit progress reports as AAA may reasonably request from time to time.
