注册外商独资企业所需提交的资料：

y投资者的主体资格证明或自然人身份证明：外国投资者的主体资格证明或身份证明应经其本国主管机关公证后送我国驻该国使（领）馆认证

y投资公司简介

y董事、监事和经理的任职文件及身份证明复印件和联系电话；

y法定代表人任职文件和身份证明复印件；

y银行资信证明原件2份；

y住所使用证明：租赁协议原件2份及出租方的产权证复印件加盖公章或签字

y将要注册的企业名称和将要从事的经营项目

注册外资公司的大概流程和时间：

y上海市工商局查册确定公司名称：5个工作日

y外经贸委申请批复和批准证书：10个工作日

y工商局申请营业执照：7个工作日

y技术监督均申请企业代码证书：1个工作日

y税务局申请税务登记证：15个工作日

y海关办理海关登记证：5个工作日

y统计局办理统计登记证：1个工作日

y代办外汇管理登记手续：1个工作日

y代办银行外汇帐户开户手续和人民币基本帐户开户手续费：10天（根据银行而定） y第一批资金到位去会计事务所验资： 5个工作日

y工商局申请资金到位后的营业执照变更： 10个工作日

Wholly-owned Foreign Investment Enterprises (Company Investment)

y The Business License of the Investor’s should be notarized by the local state notary public office and certified by the local Chinese Embassy (or Consulate);

y Brief introduction of the Investor;

y Name of the company and business scope, amount of registered capital;

y Photocopy of passport of legal representative of newly-established company and 2-inch photos and his introduction ;

y Photocopy of passports of the directors and supervisors of the newly-established company and their telephone numbers;

y 2 original Credit Certificates issued by the Investor’s bank;

y 2 original office leasing contracts and photocopy of property right with the stamps of the owner.

y Approval by Shanghai Foreign Investment Committee: 25 working days ;

y Business License: 10 working days;

y Organizational Code: 1 working day ;

y Taxation License: 20 working days ;

y Customs registration: 5 working days ;

y Statistics registration certificate: 1 working day;

y Certificate of Foreign Exchange Registration: 1 working day ;

y Opening bank account (foreign exchange & RMB, tax account): 10 working days ; y Capital checking: 5 working days ;

y Changing the business license: 10 working days .
