合作协议书Cooperation Agreement

甲方： T he first party（Party A）：

乙方The second party（Party B）：

一、协议内容Content

本着互利互惠的原则，甲乙双方经友好协商就进口货物的运输事宜达成以下协议：With the principles of mutual benefit，the two parties will make an agreement on import transport as following:

a.The two parties shall actively co-operate in International Freight Forwarding and Logistics services for shipments moving between their respective territories. The Party B will provide or arrange full logistical services necessary for the movement of freight, via air or ocean or any other means, including ancillary support services and timely preparation and transmission of related documentation and/or electronic data.（双方应积极合作国际货运代理和物流服务，为货物在其各自的领土之间流动。乙方将提供或安排通过空运、海运或任何其他方式运输货物所需的全部后勤服务，包括辅助支持服务和及时准备和传送相关文件和/或电子数据。）

b.Each Agent will name the other as consignee on any Master Air Waybill, Master House Air Waybill, Master Ocean Bill of Lading or Master House Bill of Lading 。（每个代理将在任何主空运提单、主空运提单、主海运提单或主空运提单上指定对方为收货人。

1．甲方委托给乙方的货物必须真实申报货物品名、数量、价值、用途等产品，资料必须

以书面形式委托给乙方，如因甲方申报不符所造成的所有责任由甲方负责；The first party must provide the the second party with the real information of product’s name,number,value,purpose.all of this information must be represented to the second party in a written form, as a result of discrepancies caused by the first party declaration, the first party will be responsible for all liability.

2．甲方承诺委托之货物不能夹带易燃、易爆物品及国家规定禁止进口之物品；The first party must promise not to carry cargo consigned flammable, explosive materials and goods prohibited for import by state regulations.

3．甲方托运内容要求更改或取消时，必须书面形式通知乙方，在与乙方操作人员确认可

以退件或终止运输方可取消订单；Before checking the content, changing or canceling the transpotation terms, the first party must notify the second party in written form. Changes can be made only with the agreement of the secomd.

4．如是因战争 .台风.地震等人力不可抗拒的自然灾害所产生的货物丢失不予赔偿给甲方外；由于其它任何原因或情况产生的货物损坏和丢失，乙方应在损失产生后 5 天内以全额现金方式赔偿给甲方，具体赔偿方案双方协商。If the products are lost becauseof the war, typhoon. earthquakesand other human irresistible natural disasters,the second party will never take responsibility. Due to other reasons or circumstancesarising from any damage and loss of goods,they will pay 100% compensation for the loss in 5 days to the first party.The compensation（Claims）plan is negotiated by both parties.

5．甲方索赔需乙方通知甲方货物丢失之日起 30 日内提出，过期视甲方放弃赔偿；In case

goods are lost,the second party must notify the first party in 30 days before the date expires, for the first party to give up compensation.

二、甲方责任和义务

Responsibilities and obligation of Party A

1．货物到港前，甲方及时向乙方提供进口货物清关所需完整的、准确的和合法的单据，否则由此产生的滞港等费用由甲方承担；Before the good`s arrival at the port, Party A shall provide the complete ,accurate and legal documents required regarding any customs declaring and transportation services. In case of the failure, Party A will be responsible for all the consequences.

2．甲方有责任就货物形态及货物装载要求等事宜提供给乙方；Party A shall provide the information with details on the size and loading requirements of the goods to Party B. 3．甲方在收到单据后需及时核对，如有疑问需及时反馈，在确认无误后及时通知乙方安排开具发票；

Party A shall check in time after receiving the documents. If there is any doubt, it shall pr omptly provide feedback. After confirming the correctness, Party B shall promptly notify P arty B to arrange for drawing an invoice.

三、乙方的义务和责任

Responsibilities and obligation of Party B

1．乙方有责任向甲方提供运输咨询，设计最安全、经济、快捷的运输、装卸方案。对于

已运输货物，乙方应按照甲方要求有责任就货物状况做出报告；Party B is responsible to provide the transportation proposal with safe ,quick and economical plan. Party B shall make a report on good conditions according to Party As requirements.

2.乙方对甲方提供的全套单证在 2 个工作日内完成审核整理，使之符合报关报检要求。如内容有遗漏，乙方应立刻通知甲方并向甲方索取所需资料信息；乙方在核对资料无误后应及时安排操作货物清关和转运。Party B shall examine

the whole set of documents which provided by Party A

immediately and prepare it to meet the requirements of customs declaring and inspection application within 2 working days. Should there be any missing, Party B shall immediately remind Party A and collect the relevant information from Party A. Party B shall arrange customs clearance and transshipment of the goods in time after checking the documents.

3．乙方要做好货运业务监督管理工作，合理安排作业流程，维护甲方利益，发现问题必

须及时通知甲方，并提供合理化建议积极协助甲方积极解决；Party B shall make inspection and supervision of transportation, arrange a reasonable transportation procedure. Party B shall protect the interest of Party A and shall notify Party A in time and provide the reasonable proposal and supports when meeting some problems. In case of any unforeseen costs, Party B shall notify Party A in time.

4．如因乙方原因造成货物的延期以及因乙方原因造成的货物损坏等情况，由此产生的各种额外费用和滞期费等，由乙方负担；Party B shall take the responsibilities caused by

Party B`s wrong operations including any additional charges and demurrage charges etc. 5．清关完成后，乙方要首先与甲方确认费用，待甲方确认后应在清关结束后3 天内将税单相关单据及时交予甲方；After the completion of customs clearance, Party B should inform Party A about the charges, and Party B shall forward the customs declaration as well as the bill of Duty & VAT to Party A within 3 days.

6.Agents agree, to the best of their ability, to adhere to quality standards in keeping with ISO accreditation.代理商同意尽其最大能力遵守与ISO 认证一致的质量标准。

7.After party b delivers the goods to the third party express company in the UK, it shall provide the signature form（POD）in time.If POD cannot be provided, the goods will be considered lost. Party b shall compensate for the value of the goods.乙方将货运转运至第三方快递公司后应及时提供货物签收单，如不能提供有效签收单，则视为丢失货物。乙方应赔偿货物的价值。

8.如遇海关查验货物，乙方应提供专业应对方案积极安排清关，尽最大努力完成清关，以降低甲方仓储费等损失。In case of customs inspection of the goods, Party B shall provide a professional response plan to actively arrange customs clearance and try its best to complete customs clearance so as to reduce storage charges and other losses of Party A.

9.如遇海关销毁货物，乙方应及时通知甲方并提供相关有效的海关文件。In case of customs destruction, Party B shall timely notify Party A and provide relevant valid customs documents.

四、付款方式payment

1．甲乙双方确认费用后，乙方需及时开具发票交由甲方，待甲方收到发票后需及时安排

付款After both parties confirm the fee, Party B shall promptly issue an invoice to Party A. After Party A receives the invoice, it shall arrange payment in time.

2．甲、乙双方欲终止本协议，应正式书面通知对方业务部，待确认后协议终止；If both sides want to terminate the contract, one party will notify the other party in written form. Contract can be terminated after comfirmation.

3.甲方提前向乙方支付空运、海运的关税/增值税，乙方未及时清关，甲方不承担额外费用。Party A shall pay the Duty/Vat of air transportation and sea transportation to Party B in advance, and Party B shall clear the customs in time if not Party a shall not pay the additional costs.

五、协议修改agreement modification

本协议可经双方书面确认通知另一方修改内容，经双方共同签字确认后以签字日期为准立即生效，任何修改或补充内容双方未签字确认前仍按原协议内容执行。This agreement can be modified and become effective only when both parties make an agreement about the content.

六、法律与仲裁law and arbitration

如双方产生法律纠纷并经协商无法达成一致，双方同意委托当地法院调解，仲裁或诉讼解决。If both sides can not produce legal disputes and can not reach agreement by

negotiation, both sides agree to commission a local court mediation, arbitration or

litigation to resolve.

七、协议生效agreement

1．本协议自双方签订日起生效，一单一签，有效期至甲方收货后 7 日内确认无异议则自动

终止，否则自动顺延；This Agreement shall take effect from the date contract is

signed by both parties, a single sign,valid until 7 days after receiving confirmation party

without objection will automatically terminate, or automatically extended.

2．在协议执行过程中，如双方有何异议，双方应以友好协商的方法解决。如任何一方要

终止协议应提前一个月以书面形式通知对方。任何一方须履行协议中未尽事宜并负相应责任。If any different opinions during the execution of the agreement,both sides should

use friendly consultations way to reach the aggrement. If any party wants to terminate t he

agreement,there should be a written notice from one party to another one month in

advance. Implementation of the agreement by either party to be held in the outstanding

issues and the corresponding responsibility.

3.The Agents mutually agree that each will comply with all applicable laws in their respective territory.代理商相互同意，每个代理商均应遵守各自领土内的所有适用法律。

4.This agreement shall be governed by and construed in accordance with the laws of United Kingdom.本协议受英国、中国法律管辖并根据英国法律解释。
