This Contract is entered into on [合同签订日期] by and between [甲方名称], a company organized and existing under the laws of [甲方注册地], with its principal place of business at [甲方地址] (hereinafter referred to as "Party A"), and [乙方名称], a company organized and existing under the laws of [乙方注册地], with its principal place of business at [乙方地址] (hereinafter referred to as "Party B").

本合同于[合同签订日期]由[甲方名称]（以下简称"甲方"）和[乙方名称]（以下简称"乙方"）双方签署，并生效。

Article 1. Definitions

1.1 "Goods" means the products that Party A agrees to sell to Party B according to the terms of this Contract.

1.2 "Price" means the unit price of the Goods in U.S. dollars, as agreed by both parties.

1.3 "Delivery Date" means the date on which Party A delivers the Goods to Party B.

1.4 "Force Majeure Event" means any event that is beyond the control of either party and that prevents the party from

fulfilling its obligations under this Contract, including, but not limited to, acts of God, governmental actions, war, terrorism, riots, strikes, and natural disasters.

1.1 "货物"指甲方同意根据本合同的条款向乙方销售的产品。

1.2 "价格"指双方商定的以美元计算的货物单价。

1.3 "交货日期"指甲方将货物交付给乙方的日期。

1.4 "不可抗力事件"指任何超出任何一方控制的事件，使

得该方无法履行本合同项下的义务，包括但不限于天灾、政府行为、战争、恐怖主义、暴动、罢工和自然灾害等。

Article 2. Sale and Purchase

2.1 Party A agrees to sell and Party B agrees to purchase the Goods on the terms and conditions set forth in this Contract.

2.2 The quantity, description, and quality of the Goods shall be as set forth in the purchase order issued by Party B and accepted by Party A.

2.3 The Price of the Goods shall be as set forth in the purchase order.

2.4 Party A shall deliver the Goods to Party B on the Delivery Date.

2.5 Party B shall pay the Price of the Goods to Party A within 30 days after the Delivery Date.

2.6 Party B shall bear all costs and risks associated with the transportation of the Goods from Party A's place of business to Party B's designated place of delivery.

第二条销售和购买

2.1 甲方同意按照本合同的条款和条件出售货物，乙方同意购买货物。

2.2 货物的数量、描述和质量应按照乙方发出并被甲方接受的采购订单所载明。

2.3 货物的价格应按照采购订单所载明。

2.4 甲方应在交货日期将货物交付给乙方。

2.5 乙方应在交货日期后30天内向甲方支付货物的价格。

2.6 乙方应承担与从甲方经营场所到乙方指定的交货地点所需的所有运输成本和风险。

Article 3. Quality

3.1 The Goods shall be of the quantity, description, and quality specified in the purchase order and shall conform to the standards and specifications agreed upon by the parties.

3.2 If the Goods do not conform to the standards and specifications agreed upon by the parties, Party B shall have the right to reject the Goods and request Party A to replace or repair the Goods at Party A's expense.

3.3 Party A shall provide Party B with a certificate of quality and conformity before shipment.

3.4 Party B shall have the right to inspect the Goods before accepting delivery.

第三条质量

3.1 货物应符合采购订单所要求的数量、描述和质量，并符合双方商定的标准和规格。

3.2 如果货物不符合双方商定的标准和规格，乙方有权拒收货物，要求甲方承担货物更换或维修的费用。

3.3 甲方应在发货前向乙方提供质量和符合性证书。

3.4 乙方有权在接受交货前对货物进行检验。

Article 4. Warranties

4.1 Party A warrants that it has the right to sell the Goods and that the Goods are free from any defects in material and workmanship.

4.2 Party B warrants that it has the right to purchase the Goods and that it will use the Goods in accordance with applicable laws and regulations.

4.3 Each party warrants that it will perform its obligations under this Contract in accordance with all applicable laws and regulations.

第四条保证

4.1 甲方保证具有销售货物的权利，并且货物没有任何材料和工艺方面的缺陷。

4.2 乙方保证具有购买货物的权利，并且将按照适用的法律和法规使用货物。

4.3 双方保证将按照所有适用的法律和法规履行本合同项下的义务。

Article 5. Force Majeure

5.1 If either party is prevented from performing any of its obligations under this Contract by a Force Majeure Event, such party shall promptly notify the other party and provide evidence of the Force Majeure Event.

5.2 The obligations of the party so affected by the Force Majeure Event shall be suspended during the period of the Force Majeure Event.

5.3 If the Force Majeure Event continues for a period of more than 30 days, either party may terminate this Contract upon written notice to the other party.

第五条不可抗力

5.1 如果任何一方因不可抗力事件而无法履行本合同项下的任何义务，该方应立即通知另一方并提供不可抗力事件的证据。

5.2 受不可抗力事件影响的一方的义务应在不可抗力事件期间暂停。

5.3 如果不可抗力事件持续超过30天，任何一方均可书面通知对方终止本合同。

Article 6. Governing Law and Jurisdiction

6.1 This Contract shall be governed by and construed in accordance with the laws of the People's Republic of China.

6.2 Any dispute arising out of or in connection with this Contract shall be settled through friendly negotiation. If the dispute cannot be resolved through negotiation, either party may submit the dispute to the relevant court in the place where Party A is located for arbitration in accordance with the rules of the China International Economic and Trade Arbitration Commission (CIETAC).

第六条法律适用与管辖

6.1 本合同应受中华人民共和国法律管辖并依照其法律解释。

6.2 任何因本合同引起的争议应通过友好协商解决。如果争议无法通过协商解决，则任何一方均可将争议提交到中国国际经济贸易仲裁委员会（CIETAC）的所在地甲方有关法院进行仲裁。

Article 7. Amendment and Termination

7.1 This Contract may be amended or supplemented in writing by mutual agreement of the parties.

7.2 Either party may terminate this Contract upon written notice to the other party if the other party materially breaches this Contract and fails to cure such breach within 30 days of receipt of written notice of such breach.

第七条修改和终止

7.1 双方可以通过书面协议对本合同进行修改或补充。

7.2 如果对方方严重违反本合同并未在收到通知书后30天内解决违约问题，任何一方均有权书面通知对方终止本合同。

Article 8. Miscellaneous

8.1 Neither party may assign or transfer any rights or obligations under this Contract without the other party's prior written consent.

8.2 This Contract constitutes the entire agreement between the parties and supersedes all prior or contemporaneous understandings or agreements, whether oral or written.

8.3 The headings in this Contract are for reference purposes only and shall not affect the interpretation of this Contract.

8.4 This Contract may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.

第八条杂项

8.1 未经对方的书面同意，任何一方均不得分配或转让本

合同项下的任何权利或义务。

8.2 本合同构成双方之间的全部协议，并取代所有先前或

同时的口头或书面理解或协议。

8.3 本合同中的标题仅供参考，不影响该合同的解释。

8.4 本合同可分部签署，并且每份合同副本均被视为原件，但所有合同副本组合起来构成同一份文件。
